Thank you for contributing to Vornik. This Contributor License Agreement ("Agreement") records the intellectual-property terms for Contributions. It protects you, the project, and downstream users, and it lets Vornik be maintained under its open-source licence (AGPL-3.0) while sustaining a commercial Enterprise edition.
By signing (see How to sign below) you accept these terms for your past and future Contributions to this project.
This Agreement grants rights to Vadim Grinco ("the Owner"), who holds the intellectual property in Vornik and licenses it for the project's open-source and commercial offerings.
- "You" — the individual signing this Agreement.
- "Contribution" — any original work of authorship (code, documentation, configuration, or other material) that You intentionally submit to the project, for example via a pull request or patch.
- "Submit" — any form of communication sent to the project, except one conspicuously marked "Not a Contribution."
You grant the Owner — and recipients of software distributed by the Owner — a perpetual, worldwide, non-exclusive, royalty-free, irrevocable copyright licence to reproduce, prepare derivative works of, publicly display, publicly perform, sublicense, and distribute Your Contributions and such derivative works.
Relicensing. You agree that the Owner may license Your Contributions under any licence terms — both open-source licences (such as AGPL-3.0) and proprietary/commercial licences. This is necessary to maintain Vornik as an open-core project (an open Community edition and a commercial Enterprise edition). You retain all right, title, and interest in Your Contributions — this Agreement is a licence, not an assignment of ownership.
You grant the Owner and downstream recipients a perpetual, worldwide, non-exclusive, royalty-free, irrevocable (except as stated here) patent licence to make, have made, use, offer to sell, sell, import, and otherwise transfer Your Contributions, where such licence applies only to patent claims licensable by You that are necessarily infringed by Your Contribution alone or by the combination of Your Contribution with the project. If any entity institutes patent litigation alleging that the project or a Contribution infringes a patent, the patent licences granted here for that Contribution terminate as of the date such litigation is filed.
You represent that:
- You are legally entitled to grant the above licences, and each Contribution is Your original creation (or You have authority to submit it under this Agreement).
- Employer rights. If your employer has rights to intellectual property you create, you have received permission to contribute on its behalf, your employer has waived such rights for your Contributions, or your employer has signed the Corporate CLA (Section 6).
- To your knowledge, each Contribution does not violate any third party's intellectual-property rights, and you will identify any third-party content (and its licence) of which you are aware.
Contributions are provided "as is", without warranty of any kind. You are not expected to provide support for Your Contributions except as you wish to.
If You are contributing on behalf of an employer or other legal entity, that entity must agree to this Agreement via a Corporate CLA. Contact cla@vornik.io to arrange one for your organisation's contributors.
When you open your first pull request, an automated check will ask you to sign. Reply to the pull request with a comment containing exactly:
I have read the CLA Document and I hereby sign the CLA
Your signature (your GitHub username) is recorded in this repository. One signature covers your future Contributions.
This document is offered in good faith and is based on widely-used CLA templates; it is not legal advice. The Owner should have it reviewed by counsel before relying on it.
