Svelte VRM Live Corporate Contributor License Agreement (v1)

This Corporate Contributor License Agreement ("Agreement") is entered into by and between the legal entity identified below ("Corporation") and the maintainers of Svelte VRM Live (the "Project"). By signing this Agreement, Corporation and all employees it authorizes to contribute to the Project (collectively, "Contributors") agree to the following terms for any Contribution submitted to the Project.

1. Definitions

"Contribution" means any original work of authorship, including any modifications or additions to existing work, that a Contributor submits to the Project in any form and in any manner.

2. Copyright License

Subject to the terms and conditions of this Agreement, Corporation hereby grants to the Project maintainers and recipients of software distributed by the Project a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable copyright license to reproduce, prepare derivative works of, publicly display, publicly perform, sublicense, and distribute Contributions and derivative works under the GNU Affero General Public License, version 3 or any later version (AGPL-3.0-or-later).

3. Patent License

Corporation hereby grants to the Project and its downstream users a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable patent license to make, have made, use, offer to sell, sell, import, and otherwise transfer Contributions, where such license applies only to patent claims controlled by Corporation that are necessarily infringed by a Contribution alone or by combination of a Contribution with the Project.

4. Moral Rights

To the fullest extent permitted by law, Corporation waives and agrees not to assert all moral rights in or relating to its Contributions for the benefit of the Project and its licensees.

5. Representations and Warranties

Corporation represents that:

  1. Each Contributor is authorized to submit Contributions on behalf of Corporation and to grant the licenses set forth in this Agreement.
  2. Corporation has sufficient rights to grant the above licenses.
  3. No Contribution is intentionally misleading or violates the rights of any third party.

6. Disclaimer of Warranty

THE CONTRIBUTIONS ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

By signing below (electronically via the CLA bot or other agreed method), the individual executing this Agreement represents that they are authorized to bind Corporation to the terms of this Agreement.
